The Firm was retained by the Island’s visionary promoter after the Island was acquired from the Astwood family, who had owned the property for several decades. Our representation included successfully advising on and defending against a winding up petition brought by an initial investor, advising on possible structures to undertake the development of the Island, advising on an existing restrictive covenant, advising on and assisting the developer with discharging all regulatory obligations, advising on traditional and non-traditional financing options, including various investment agreements, drafting Sale and Purchase Agreements and documentation, answering questions and negotiating sale and purchase agreements with prospective buyers or their counsel, effecting the transfer of title from the developer to buyers, advising on a management structure and entities, drafting and advising on employment contracts, negotiating and drafting a joint venture partnership, representation of the joint venture as outside counsel, representation of one of the partners in a subsequent management buyout.

Financing the Development
We provided advice on financing options and assisted in securing and structuring financing, including private debt and equity financing, advising on and structuring a joint venture.

Regulatory requirements
We advised on all business licensing obligations, work permits, and physical planning obligations.
